TERMS & CONDITIONS These Terms & Conditions ("Terms") govern access to and use of the Hardware 24x7 mobile application and platform (the "Platform"), owned and operated by Potential Wholesale Hardware Private Limited. By registering on, browsing, or placing an order through the Platform, you ("User", "Retailer", "Vendor", or "you") agree to be bound by these Terms. 1. Nature of the Platform Hardware 24x7 is a B2B-focused wholesale hardware marketplace connecting registered hardware retailers ("Buyers") with registered hardware manufacturers, distributors, and wholesalers ("Vendors") across India. While certain features may be accessible to individual/retail (B2C) customers, the Platform's products, pricing, minimum order quantities, and policies are primarily designed and optimized for business-to-business (B2B) transactions between Vendors and Retailers. Potential Wholesale Hardware Private Limited acts as the facilitator of the transaction and as the payment collection entity (seller of record for billing/checkout purposes), while the actual product is manufactured, owned, stocked, and fulfilled by the respective Vendor. Product listings, descriptions, images, pricing, and stock availability are provided by Vendors. Hardware 24x7 does not independently manufacture the hardware products sold on the Platform. Use of the Platform requires business KYC verification (GSTIN-based) for B2B accounts. GST verification is optional and may be completed by the User at their discretion; unverified accounts may have restricted access to certain B2B pricing, credit, or vendor features. 2. Eligibility & Registration Users must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872. Business accounts (Retailer/Vendor) must provide accurate business name, GSTIN, contact phone number, and delivery/pickup address. Hardware 24x7 reserves the right to verify, suspend, or reject any registration where information provided is found to be false, incomplete, or fraudulent. One business entity is expected to maintain one active account unless otherwise approved by the Platform's Key Account Management (KAM) team. 3. Orders & Payments Orders are placed through the app and confirmed only upon successful payment authorization (prepaid) or Partial COD confirmation, where applicable. Accepted payment modes include UPI, net banking, and other modes enabled within the app from time to time. Partial Cash on Delivery (Partial COD) is available on eligible orders, subject to a minimum advance payment collected at the time of order placement. The remaining amount is collected at the time of delivery. Prices displayed are inclusive/exclusive of applicable GST as indicated on the product page and final invoice. Pricing, discounts, and offers may vary by Vendor and are subject to change without prior notice. A valid GST invoice will be issued for every order to the extent permitted by the Vendor's registration status (registered/composition/unregistered). 4. Vendor Obligations Vendors are responsible for the accuracy of product listings, quality, packaging, and timely dispatch of confirmed orders. Vendors must ship orders exclusively through Hardware 24x7's designated courier partner (currently Delhivery) unless otherwise instructed by the Platform. Vendors found engaging in misrepresentation, counterfeit listing, repeated order cancellation, or fraudulent activity may be suspended or permanently removed from the Platform. 5. Shipping & Delivery All orders are shipped via Hardware 24x7's designated logistics partner (Delhivery). Delivery timelines shown in the app are estimates and may vary due to courier, weather, regional, or stock-related delays. Risk in goods passes to the Buyer upon successful delivery confirmation by the courier partner. It is the Buyer's responsibility to inspect the shipment at the time of delivery for visible tampering or damage. 6. Cancellation, Return & Refund Cancellation, Return, and Refund matters are governed by the dedicated Cancellation Policy, Return Policy, and Refund Policy documents, which form part of and are incorporated by reference into these Terms. 7. User Conduct Users shall not use the Platform for any unlawful purpose, to upload false business information, or to interfere with the Platform's normal operation. Users shall not attempt to circumvent the Platform to transact directly with a Vendor or Retailer discovered through the app, in a manner intended to avoid applicable Platform fees, where such fees apply. Abusive behavior toward Platform staff, Vendors, or courier personnel may result in account suspension. 8. Intellectual Property All trademarks, logos, app design, and content on the Platform (excluding Vendor-supplied product content) are the property of Potential Wholesale Hardware Private Limited. Users may not copy, reproduce, or republish any part of the Platform without prior written consent. 9. Limitation of Liability Potential Wholesale Hardware Private Limited acts as an intermediary facilitating transactions between Vendors and Retailers. To the maximum extent permitted by law, Potential Wholesale Hardware Private Limited shall not be liable for indirect, incidental, or consequential damages arising from product quality issues, delivery delays caused by third-party courier partners, or disputes between Vendors and Buyers, beyond the value of the specific order in question. 10. Suspension & Termination Potential Wholesale Hardware Private Limited reserves the right to suspend or terminate any account, with or without notice, in case of policy violation, fraudulent activity, non-payment, or misuse of the Platform. 11. Governing Law & Jurisdiction These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan, India. 13. Amendments Potential Wholesale Hardware Private Limited may revise these Terms from time to time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
